Job Title: Corporate Counsel
Reports To: General Manager / President
FLSA Status: Exempt
Department: Legal
Summary:
The Corporate Counsel will act as the in-house legal advisor to the executive leadership team and the broader organization. This individual will be responsible for drafting and negotiating a wide range of legal agreements, identifying and mitigating legal risks, and ensuring compliance with all applicable regulations.
Key Responsibilities:

Draft, review, manage, and negotiate contracts, including NDAs, customer agreements, and supplier contracts

Advise leadership on legal risks related to company operations and strategic initiatives

Provide internal training on legal topics such as compliance, intellectual property, and contract practices

Liaise with external legal counsel, regulatory bodies, and other relevant parties as needed

Ensure company-wide compliance with local, state, federal, and international laws

Maintain and organize legal documentation and records

Develop and implement legal policies and processes to support organizational goals

Represent the company in legal matters or support outside counsel in litigation

Support the Intellectual Property team by overseeing tasks, providing guidance, and reviewing performance

Approve timesheets and time-off requests for assigned legal staff

Qualifications:

Juris Doctor (JD) from an accredited law school

Minimum of 10 years of legal experience, including at least 5 years in a corporate environment

Licensed to practice law in Massachusetts or eligible for admission

Experience drafting and implementing legal procedures and documentation

Background in the technology or manufacturing sector is a plus

Knowledge of international law and experience with cross-border agreements preferred
