Associate General Counsel – Corporate Transactions & M&A

A growing construction company with multiple business divisions across the Northeast is seeking a seasoned Associate General Counsel to join its executive team. This role offers the opportunity to work closely with senior leadership on strategic corporate, transactional, and operational initiatives—with a clear path to General Counsel in the near future.

About the Role

The Associate General Counsel will support the company’s executive leadership team—including the CEO, CFO, and operational heads—on a wide range of corporate legal matters. This includes managing acquisitions, real estate transactions, complex contracts, and advising on general business and employment matters. You’ll work both independently and in partnership with outside counsel to help guide the company’s continued growth and compliance across multiple jurisdictions..

Key Responsibilities

• Advise senior leadership on corporate, commercial, and compliance matters.
• Lead or support mergers and acquisitions, including due diligence and transaction execution.
• Oversee real estate and financing transactions, coordinating with internal and external partners.
• Draft, review, and negotiate a variety of commercial agreements, including vendor, customer, and financing contracts.
• Provide guidance on employment and regulatory matters in collaboration with HR and operations leaders.
• Partner with outside counsel as needed and ensure legal consistency across business units.
• Serve as a trusted legal advisor to the executive team, offering practical, solutions-oriented guidance.

Qualifications

• Minimum 10 years of broad-based corporate legal experience.
• At least 5 years of hands-on experience managing or leading M&A transactions.
• Strong background in contract drafting, real estate, and corporate governance.
